Terms of Use

The Goldfinch Foundation (“GFF”) is a United States 501(c)(3) nonprofit organization dedicated to mental health, resilience, and wellness, founded in memory of Owen Willers. These Terms of Use (“Terms”) govern your access to and use of the GFF website located at thegff.org (the “Site”). The Site is built on and hosted by Squarespace, Inc. (“Squarespace”). Your use of the Site is also subject to Squarespace’s Terms of Service, available at squarespace.com/terms-of-service, and Squarespace’s Privacy Policy, available at squarespace.com/privacy, each of which is incorporated herein by reference.

By accessing or using the Site, you agree to be bound by these Terms and by GFF’s Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not access or use the Site.

The Site is available for general browsing by users of all ages. To make a purchase, submit a donation, or register for an event through the Site, you must be at least eighteen (18) years of age or have the consent of a parent or legal guardian. If you are under eighteen (18) and your parent or legal guardian has consented to these Terms on your behalf, that parent or guardian assumes responsibility for your use of the Site, including any financial transactions. GFF reserves the right to cancel any transaction or terminate access for any user who does not meet these requirements. If you believe that a child under thirteen (13) has provided personal information to GFF, please contact GFF at the contact information provided below, and GFF will take reasonable steps to delete such information promptly.

By continuing to use the Site after any changes to these Terms are posted, you accept and agree to the revised Terms. Your sole remedy if you do not agree with any modification is to discontinue use of the Site.‍

1. About The Goldfinch Foundation and Use of the Website‍ ‍

1.1 About GFF. GFF is dedicated to young adults mental health, resilience, and wellness through its TANK framework: Tech, Activity, Nature, and Kinship. GFF’s programs include school-based mental health curriculum, the Young adults Ambassador peer support program, speaking and outreach partnerships with schools, churches, and communities, and community events such as the Sunrise 5K race, the Illumination art and music event, and the Wellness Summit.‍ ‍

1.2 Permitted Uses. You may access and use the Site for lawful, personal, non-commercial purposes consistent with these Terms. You may browse the Site, register for events, purchase merchandise, make donations, sign up for newsletters, and engage with GFF’s educational content.‍ ‍

1.3 Prohibited Conduct. When using the Site or as part of your involvement with GFF, you agree not to:‍ ‍

  • (a) Harass, threaten, intimidate, or harm any individual or group;‍ ‍

  • (b) Post, transmit, or distribute content that is unlawful, defamatory, obscene, or harmful;‍ ‍

  • (c) Attempt to gain unauthorized access to any portion of the Site, its servers, or any systems connected to the Site;‍ ‍

  • (d) Use automated means, including bots, scrapers, or crawlers, to access, collect, or copy content from the Site without GFF’s prior written permission;‍ ‍

  • (e) Use the Site or its content for any commercial purpose without GFF’s prior written authorization; or‍ ‍

  • (f) Interfere with or disrupt the operation of the Site or violate any applicable local, state, or federal law.‍

GFF reserves the right, in its sole discretion, to suspend or terminate access to the Site for any user who violates these provisions.

2. User Content, Merchandise Purchases, and Donations

(a) Merchandise Purchases

All merchandise offered through the Site is subject to availability. Merchandise purchases are processed through the Squarespace commerce platform. By completing a purchase, you agree to Squarespace’s Terms of Service (squarespace.com/terms-of-service) as they relate to commerce transactions, including payment processing. GFF reserves the right to modify pricing at any time without prior notice. Payment is due at the time of purchase. GFF reserves the right to cancel or refuse any order for any reason, including pricing errors or suspected fraud. Shipping timelines are estimates and not guarantees.

(b) Donations

All donations to GFF are voluntary. Donations are processed through Givebutter, a third-party platform, and are subject to Givebutter’s terms of service available at givebutter.com/terms. Donors should review those terms before completing a transaction. Donations to GFF are tax-deductible to the extent permitted under applicable law. GFF will provide tax receipts as required.‍

3. Event Registration and Participation

The Goldfinch Foundation organizes community events, including the Sunrise 5K race, the Illumination art and music event, the Wellness Summit, and other programs. By registering for or participating in any GFF event, you agree to the following terms.

3.1 Registration. Event registration may require you to provide your name, email address, and other information. For youth participants under 18, a parent or guardian must complete or authorize registration. All registration information must be accurate and complete.

3.2 Assumption of Risk. Participation in GFF events, particularly physical activities such as the Sunrise 5K race and outdoor gatherings, involves inherent risks, including but not limited to physical injury, illness, or property damage. By registering for and attending any GFF event, you voluntarily assume all such risks and release GFF, its officers, directors, employees, volunteers, and agents from any and all claims, liabilities, or damages arising from your participation.

3.3 Photo and Video Release. GFF may photograph, film, or otherwise record its events. By attending a GFF event, you grant GFF a perpetual, royalty-free, worldwide license to use your name, likeness, image, and voice captured at the event for promotional, educational, and nonprofit purposes. If you do not wish to be photographed or recorded, please notify GFF staff at the event.

3.4 Event Cancellation and Refunds. GFF reserves the right to modify, postpone, or cancel any event at its discretion. GFF is not responsible for any travel or other costs incurred by registrants in connection with a cancelled or rescheduled event.

4. Intellectual Property and Third-Party Links

4.1 Ownership. All content, materials, text, images, graphics, logos, trademarks, service marks, trade names, trade dress, domain names, and other intellectual property displayed on or made available through the Site or GFF (collectively, “GFF Content”) are owned by or licensed to The Goldfinch Foundation and are protected by applicable copyright, trademark, and other intellectual property laws of the United States and foreign jurisdictions. “The Goldfinch Foundation,” “GFF,” the GFF logo, and all related names, marks, slogans, and trade dress are trademarks or service marks of GFF. You acknowledge that GFF Content constitutes valuable proprietary information of GFF. Nothing in these Terms grants you any right, title, or interest in any GFF Content except as expressly stated herein. All rights not expressly granted herein are reserved by GFF. No implied license or right is created by estoppel, implication, or otherwise.

4.2 Limited License. Subject to your compliance with these Terms, GFF grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for personal, non-commercial purposes only. You may not: (i) copy, reproduce, distribute, modify, adapt, translate, create derivative works from, publicly display, publicly perform, republish, or otherwise exploit any GFF Content without GFF’s express, prior, and written consent; (ii) frame, mirror, or deep-link to any portion of the Site without GFF’s express, prior, and written consent; (iii) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Site or any software used to operate the Site; (iv) remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or displayed on the Site; or (v) use any data mining, robots, or similar data gathering or extraction methods on the Site. Any unauthorized use of GFF Content automatically terminates the license granted in this Section and may violate applicable copyright, trademark, and other laws.

4.3 Copyright Infringement and DMCA Notices. GFF respects the intellectual property rights of others. If you believe that any content on the Site infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (“DMCA”) to GFF’s designated copyright agent at the contact information provided below. Your notice must include: (i) a description of the copyrighted work you claim has been infringed; (ii) a description of the material you claim is infringing and its location on the Site; (iii) your contact information, including name, address, telephone number, and email address; (iv) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (v) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and (vi) the physical or electronic signature of the copyright owner or authorized representative. GFF reserves the right to remove any content alleged to be infringing without prior notice and in its sole discretion.

4.4 Third-Party Links and Platform. The gff.org website is hosted on the Squarespace platform and may contain links to third-party websites and services, including Givebutter (givebutter.com), Google Calendar, Instagram (@thegff24), LinkedIn, and YouTube (@theGFF24). These links are provided for your convenience only. The Squarespace platform operates under its own terms of service (squarespace.com/terms-of-service) and privacy policy (squarespace.com/privacy). GFF does not control, endorse, or assume responsibility for the content, privacy practices, or terms of use of any third-party site, service, or platform, including Squarespace. Your use of any linked third-party site or the underlying Squarespace platform is at your own risk and subject to that party’s own terms and policies. We encourage you to review the applicable terms and privacy policies before using any third-party service.‍

5. Disclaimers, Mental Health Resources Disclaimer, and Limitation of Liability

5.1 Disclaimer of Warranties. The Site and all content, materials, information, products, merchandise, and services available through thegff.org are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, GFF disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, and quiet enjoyment. GFF does not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any content, materials, or information on the Site is accurate, complete, reliable, current, or error-free. GFF makes no warranty regarding any merchandise purchased through the Site, including its quality, suitability, or conformity with any description. Your use of the Site and any merchandise or content obtained through the Site is at your sole risk. No advice or information, whether oral or written, obtained from GFF or through the Site creates any warranty not expressly made herein.

5.2 Mental Health Resources Disclaimer. GFF provides educational content and programming about mental health, resilience, and wellness for informational purposes only. GFF is not a mental health provider, therapist, counselor, or medical professional, and nothing on the Site constitutes therapy, counseling, diagnosis, treatment, or medical advice. GFF content is not a substitute for professional mental health treatment. You should not rely on any information on the Site as a substitute for, or in place of, professional medical or mental health advice, diagnosis, or treatment.

If you or someone you know is experiencing a mental health emergency, please contact 911 or the 988 Suicide and Crisis Lifeline (call or text 988) immediately. GFF expressly disclaims any and all liability arising from your reliance on any information provided on the Site relating to mental health.

5.3 Limitation of Liability. To the fullest extent permitted by applicable law, GFF, its officers, directors, employees, volunteers, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for loss of profits, goodwill, data, or other intangible losses, arising out of or related to (a) your use of or inability to use the Site, (b) any merchandise purchased through the Site, (c) any content or information obtained from the Site, (d) unauthorized access to or alteration of your transmissions or data, or (e) any other matter relating to the Site, regardless of the theory of liability (whether contract, tort, strict liability, or otherwise) and even if GFF has been advised of the possibility of such damages. GFF’s total aggregate liability for any claims arising under or in connection with these Terms shall not exceed one hundred dollars ($100.00). The limitations set forth in this Section apply to the maximum extent permitted by applicable law and shall survive the termination of these Terms.

6. Governing Law, Changes to Terms, and Contact Information

6.1 Governing Law. These Terms of Use, and any dispute arising out of or relating to these Terms or your use of thegff.org, shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-law principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of such courts.

6.2 Changes to These Terms. GFF reserves the right to modify or update these Terms of Use at any time. When changes are made, GFF will post the revised Terms on thegff.org and update the “Effective Date” at the top of the document. Your continued use of the website after the revised Terms are posted constitutes your acceptance of the changes. GFF encourages you to review these Terms periodically. For material changes, GFF may, at its discretion, provide notice through the website or by email to registered users.
